1. This agreement
These Terms of Service are a binding agreement between Saman Technosys Private Limited, a company incorporated in India (CIN U74999MH2016PTC283139) with its registered office at Unit No 802/801, 8th Floor, Sai Arpan B-11, Sai Complex, Opp. Shanti Vihar, Mira Road East, Maharashtra, India - 401107 (“Saman Technosys”, “we”, “us”), and the business that opens a Wazigo account (“you”, “Customer”).
Wazigo is the name of the product. Saman Technosys Private Limited is the entity you contract with, the entity that invoices you and the entity that collects payment.
By creating an account, signing in, or using Wazigo in any way, you accept these terms and our Privacy Policy and Refund & Cancellation Policy, which form part of this agreement. If you are accepting on behalf of a company, you confirm you are authorised to bind it.
2. Definitions
- Service
- The Wazigo application at
app.wazigo.io, its APIs, webhooks, embeddable forms and any related software we provide. - Customer Data
- Everything you put into the Service or that reaches it on your behalf — contacts, messages, media, templates, custom attributes and consent records.
- End Customer
- A person you communicate with through the Service.
- WABA
- Your WhatsApp Business Account, held by you with Meta.
- Meta Policies
- The WhatsApp Business Terms of Service, the WhatsApp Business Messaging Policy, the WhatsApp Commerce Policy and any other Meta terms applicable to your WABA, each as amended by Meta from time to time.
3. What the Service is
Wazigo gives your team a shared inbox on your own WhatsApp number, the ability to send Meta-approved message templates to your contacts, tools to capture and organise leads, and automation for replies and follow-up campaigns.
Wazigo is software. It is not WhatsApp, and it is not a telecom or messaging carrier. Message delivery is performed by Meta over the WhatsApp Business Platform. Saman Technosys Private Limited operates as a Meta Tech Provider and is an independent company, not affiliated with, endorsed by or sponsored by Meta Platforms, Inc.
4. Eligibility and accounts
- You must be at least 18 years old and operating a genuine business.
- The Service is currently offered in India only. Prices are in Indian Rupees and the Service operates on Indian Standard Time.
- You must give accurate registration details and keep them current.
- You are responsible for everything done under your account, including by your agents. Keep credentials confidential and tell us at once at support@wazigo.io if you suspect unauthorised access.
- You may add as many users as your team needs. We do not charge per seat.
5. Your WhatsApp obligations
This is the section that matters most. Meta, not Saman Technosys Private Limited, decides whether your WhatsApp number keeps working. Breaking these rules can get your number rate-limited, restricted or permanently banned, and we cannot reverse that.
You agree that:
- The WABA is yours. You connect your own WhatsApp Business Account and phone number, you own the relationship with Meta, and you must comply with the Meta Policies at all times.
- Opt-in is your responsibility. You must have a lawful basis and a valid opt-in, obtained as Meta requires, before sending any business-initiated message. You must be able to produce evidence of it.
- You will not buy, scrape or rent contact lists, and you will not upload numbers that did not come from a genuine interaction with your business.
- You will honour opt-outs. The Service records and enforces them automatically; you must not attempt to circumvent that or to re-add a contact who has opted out.
- You will not send prohibited content — anything unlawful, or anything the WhatsApp Commerce Policy forbids, which includes (among other things) alcohol, tobacco, drugs, weapons, gambling, adult content, live animals and unapproved medical or financial products.
- You will keep your template content honest. Templates must accurately describe what you are sending. Meta reviews and decides on every template; we submit them and report Meta’s verdict, and we cannot approve, appeal or override it.
5.1 What the Service does to help — and what it does not promise
The Service enforces a number of Meta’s rules in software: the 24-hour service window
(free-form messages are blocked outside it), automatic STOP and opt-out
handling in English, Hindi and Hinglish, quiet hours and a daily frequency cap on campaign
messages, batched and paced broadcast sending, blocking of marketing to United States (+1)
numbers, and automatic pausing of sending when Meta downgrades your number’s quality
rating.
These features reduce risk. They are not a guarantee. Meta may restrict or ban a number at its sole discretion, including for reasons outside the Service — how recipients rate you, block you or report you. Saman Technosys Private Limited gives no warranty that your number will not be restricted or banned and is not liable if it is.
6. Acceptable use
You will not, and will not permit anyone else to:
- use the Service to send spam, or any message that is unlawful, deceptive, harassing, defamatory, obscene, or that infringes someone’s rights;
- impersonate another person or business, or misrepresent who is sending a message;
- resell, sublicense or white-label the Service without a written agreement with us;
- reverse engineer, decompile, or attempt to derive the source code of the Service;
- probe, scan or test the security of the Service, or bypass any rate limit, quota, access control or compliance check;
- use the Service to build a competing product, or to benchmark it for publication without our written consent;
- upload malware, or use the Service in a way that damages or overloads it or interferes with another customer’s use of it.
We may investigate a suspected breach and, where it is causing harm or exposing us or another customer to risk, suspend the account while we do.
7. Fees, billing and the message cost
7.1 Two separate bills — read this before you compare prices

We do not resell WhatsApp messages and we add no markup to Meta’s message price. That money never passes through us. It follows that we cannot refund, credit or dispute a Meta message charge on your behalf — those go to Meta.
7.2 Subscription terms
- Subscription fees are stated on our pricing page and in your account, in Indian Rupees, and are charged in advance for each billing period.
- Fees are exclusive of GST and other applicable taxes, which are added at the prevailing rate.
- Subscriptions renew automatically at the end of each period until cancelled.
- We may change our prices with 30 days’ notice by email. A change takes effect at your next renewal, and you may cancel before then if you do not accept it.
7.3 Message allowances
Each plan includes an allowance of outbound messages we will send on your behalf. The allowance is a soft limit: when you reach it we warn you and prompt an upgrade, but we keep sending — we will not block your order confirmations to enforce a plan tier. Usage over the allowance is billed at the overage rate shown in your plan.
Our counter is a plan meter, not an invoice. It counts outbound messages only; inbound messages are never counted against you. Meta counts conversations by its own rules, so our number and Meta’s bill will not match exactly, and they are not meant to.
7.4 Non-payment
If a payment fails we will retry and notify you. If an invoice remains unpaid 7 days after it falls due we may suspend sending; if it remains unpaid after 30 days we may suspend the account entirely. Data is retained during suspension in line with our Privacy Policy.
7.5 Trials and refunds
Where a free trial is offered, it converts to a paid subscription at the end of the trial unless you cancel first. Cancellation and refunds are governed by our Refund & Cancellation Policy.
8. Customer Data and data protection
- Your data stays yours. As between us, you own all Customer Data. You grant us a non-exclusive licence to host, process, transmit and display it solely to provide and support the Service.
- You are the Data Fiduciary for your contacts under the Digital Personal Data Protection Act, 2023, and we act as your Data Processor. You are responsible for having a lawful basis for the personal data you put into the Service.
- You may export your data at any time while your account is open, and request deletion as described on our Data Deletion Instructions page.
- We may use aggregated, de-identified data that does not identify you or any individual to operate and improve the Service. We do not use your message content to train artificial intelligence models.
- Our security measures and sub-processors are described in the Privacy Policy.
9. Intellectual property
We own the Service, its software, design, documentation and the Wazigo name and marks. Nothing in this agreement transfers any of it to you. You get a non-exclusive, non-transferable, revocable right to use the Service during your subscription, for your own business purposes.
WhatsApp, Meta and their logos belong to Meta Platforms, Inc. Neither party may use the other’s marks without written permission, except that we may list you as a customer by name and logo unless you tell us in writing not to.
10. Third-party services
The Service depends on third parties — principally Meta for message delivery and Razorpay for payments. Your use of those services is also subject to their own terms. We are not responsible for their acts, outages, pricing changes, policy changes or decisions, including a decision by Meta to reject a template or restrict your number.
11. Availability, support and changes
- We aim to keep the Service available at all times but do not guarantee uninterrupted operation. We may take it down for planned maintenance and will give notice in advance where we reasonably can.
- Support is provided in English and Hindi by email during Indian business hours. If we publish a specific response-time commitment for your plan, that commitment applies.
- We develop the Service continuously and may add, change or remove features. We will not materially reduce the core functionality of a paid plan during a period you have already paid for without offering you a pro-rata refund of the unused portion.
12. Suspension and termination
You may cancel at any time from inside the application or by writing to support@wazigo.io. See the Refund & Cancellation Policy for what happens next.
We may suspend or terminate your account if:
- you breach these terms, the Meta Policies or applicable law, and do not fix it within 7 days of our written notice — or immediately, where the breach is causing harm, is unlawful, or puts our platform or another customer at risk;
- an invoice stays unpaid as described in section 7.4;
- Meta requires us to, or terminates our Tech Provider status or your WABA;
- we discontinue the Service, in which case we will give at least 60 days’ notice and refund the unused portion of anything you have prepaid.
On termination your right to use the Service ends. You may export your data before the account closes and for 30 days afterwards. After that it is deleted in line with our retention schedule. Fees already due remain payable.
13. Disclaimers
We provide the Service with reasonable skill and care. Beyond that, and to the fullest extent permitted by law, the Service is provided “as is” without warranties of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose or non-infringement.
In particular, we do not warrant that:
- the Service will be uninterrupted or error-free;
- any message will be delivered, read or acted on — delivery is Meta’s and the recipient network’s;
- a template will be approved by Meta, or will keep its category or its approval;
- your WhatsApp number will not be rate-limited, restricted or banned by Meta;
- using the Service makes you compliant with every law that applies to your business. You remain responsible for your own compliance.
14. Limitation of liability
Neither party excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be excluded.
Subject to that, and to the fullest extent permitted by law:
- Neither party is liable for indirect or consequential loss, or for loss of profits, revenue, goodwill, business opportunity or anticipated savings, however caused.
- Our total aggregate liability arising out of or in connection with this agreement in any 12-month period is limited to the subscription fees you actually paid us in the 12 months before the event giving rise to the claim.
- Message charges billed by Meta are excluded from that cap and from any claim against us, because we neither collect nor control them.
- We are not liable for loss arising from a decision by Meta about your WABA, your number or your templates.
15. Indemnity
You will indemnify and hold Saman Technosys Private Limited, its directors, employees and agents harmless against any claim, demand, penalty, loss or reasonable cost (including legal fees) arising from your Customer Data, from messages you send through the Service, from your breach of these terms or the Meta Policies, or from your violation of any law or third-party right.
16. Confidentiality
Each party will keep the other’s non-public information confidential, use it only for this agreement, and protect it with at least reasonable care. This does not apply to information that is public through no fault of the receiving party, was already known to it, was independently developed, or must be disclosed by law — in which case the receiving party will give notice where it is permitted to.
17. Force majeure
Neither party is liable for a failure to perform caused by something outside its reasonable control, including acts of God, war, civil unrest, epidemic, government action, failure of internet or telecommunications infrastructure, or the failure, suspension or policy change of a third-party platform on which the Service depends.
18. General
- Changes to these terms. We may update them. Material changes are notified by email or in-app at least 15 days before they take effect. Continuing to use the Service after that is acceptance; if you do not accept, cancel before the effective date.
- Notices. To you, by email to your registered address or by notice inside the application. To us, by email to info@wazigo.io.
- Assignment. You may not assign this agreement without our written consent. We may assign it to an affiliate or in connection with a merger, acquisition or sale of assets.
- Entire agreement. These terms, the Privacy Policy and the Refund & Cancellation Policy are the whole agreement between us on this subject and replace anything said before.
- Severability. If any provision is held unenforceable, the rest stands.
- No waiver. Not enforcing a right on one occasion does not waive it.
- No partnership. Nothing here creates a partnership, joint venture, agency or employment relationship.
19. Governing law and disputes
This agreement is governed by the laws of India. The parties will first try in good faith to resolve any dispute by discussion, escalating to senior management, for 30 days. Failing that, the dispute will be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration is Thane and the language is English. Subject to that, the courts at Thane have exclusive jurisdiction.
